Terms of Service
These Terms govern your access to and use of MemoryFirst (the "Service"), operated by Codelabs Studio S.L. ("Codelabs", "we", "us"), a Spanish limited company. By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
MemoryFirst is a multi-client memory layer for businesses. It processes documents, voice transcripts, chats, web sources and operational events, and serves them back to AI agents via REST, an open MCP server, and OAuth integrations. Features, pricing and limits may evolve over time.
2. Accounts
You must provide accurate information when creating an account and are responsible for safeguarding your credentials and any activity under your account. Notify us at security@memoryfirst.ai if you suspect unauthorised access.
3. Acceptable use
- Do not add content you do not have the lawful basis to process.
- Do not use the Service to generate or distribute content that is unlawful, defamatory, or infringes third-party rights.
- Do not attempt to disrupt, reverse engineer, or gain unauthorised access to the Service.
- Do not store or transmit malware, exploit code or payloads designed to attack third parties.
- Respect the rate limits and usage caps of your subscription tier.
4. Your Data
You retain all right, title and interest in the data you submit to the Service ("Your Data"). You grant Codelabs a limited, non-exclusive licence to host, process and transmit Your Data strictly to operate the Service for you. We do not access Your Data except as necessary to provide, secure or support the Service, to comply with law, or as you instruct.
We do not train shared AI models on Your Data. Where the Service routes prompts to third-party LLM providers (Anthropic, OpenAI, Google, Mistral) at your request, those providers act under their own contractual no-training commitments, listed in our DPA subprocessor list.
5. Privacy & data protection
Processing of personal data is governed by our Privacy Policy and, for business customers, by our Data Processing Agreement. The DPA is incorporated by reference into these Terms for any customer that processes personal data via the Service.
6. Disclaimer of warranties
Except as expressly stated in a signed agreement, the Service is provided "as is" and "as available", without warranties of merchantability, fitness for a particular purpose, or non-infringement. Live status is published at /status. A production SLA of 99.9% monthly uptime applies to the Enterprise tier.
7. Fees and billing
Paid tiers are billed monthly in EUR by Stripe Payments Europe Ltd. Usage above the included credit is metered at the unit prices published on the pricing page. Disputes about an invoice must be raised within 30 days of issue.
8. Termination
You may terminate your account at any time from the dashboard or by emailing founders@memoryfirst.ai. We may suspend or terminate access for material breach of these Terms or if required by law. On termination, Your Data is exported on request and permanently deleted within 30 days, except where retention is required by law.
9. Intellectual property
The Service, including its software, documentation and branding, is owned by Codelabs. These Terms do not grant you any rights to our trademarks. We grant you a non-transferable licence to use the Service for the duration of your subscription.
10. Limitation of liability
To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, data or goodwill, arising out of or in connection with the Service. Our aggregate liability under these Terms is capped at the fees you paid to us in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability for gross negligence, wilful misconduct, death or personal injury, or any liability that cannot be limited by law.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email at least 30 days before they take effect for existing subscribers. Continued use of the Service after the effective date constitutes acceptance.
12. Governing law & jurisdiction
These Terms are governed by the laws of Spain. Disputes shall be submitted to the exclusive jurisdiction of the courts of Málaga, Spain. Consumers retain the protections of mandatory consumer law in their country of residence.
